I came to Aikhal on a friend’s invitation in 2001, and immediately got a job in the Aikhal underground mine. I wanted to get ahead in with my profession, and I also knew the job would let me support my family.

Working for ALROSA has many advantages. To start with, I appreciate both the stability and the prospects for professional development and promotion. Significant social support from the management also means much to me. In return, I fulfil my responsibility to the company by carrying out my duties conscientiously, and work hard to develop and improve labor processes.

I think that the most significant achievement during my time with ALROSA was when the Aikhal underground mine reached its design capacity in 2013.

My wife and I have been in Aikhal since 2006, moving from the Chelyabinsk Oblast. We came here partly because my wife’s parents lived in Yakutia. I was also looking for a job that offered a decent salary, stability, and confidence in the future.

My responsibility is to work my shift and support my colleagues - and to meet our production rates, of course.

Working for the ALROSA Company provides a number of extra benefits. For example, we have no problems with kindergartens. And with my salary, we can afford to buy a tourist voucher to go on holiday to other regions.

I think it is a great achievement that the Aikhal underground mine has reached its design performance goals. The credit goes to the whole team. That day was also vey special for me personally, as I got a significant salary increase!

I came to Aikhal in 1996, to start work in the technological transport depot, and, I’m delighted to say, I’m still here. Since my early years, I have always been fascinated by big machines and large vehicles. I have also become very happy to be working at ALROSA. From the very beginning, the company seemed more serious and reliable than other enterprises.

I like the trustworthy and stable team; there is always a sense of confidence. I also like the work I do. In terms of social benefits, ALROSA gives me free travel to a holiday destination once every two years.

Achievements? In the first half of 201,3 our crew was number one in transported rock volumes. That gives me real job satisfaction.

Andrey N. Cherepnov

ALROSA Chief Engineer:

My parents came to Mirny in 1957, and I was born in 1966. I finished school, entered the Irkutsk Polytechnic Institute Mining Faculty, and majored in Mine Surveying. I graduated from the Institute, and since 1988 I have been working in Mirny. First, in Mirny Mining and Processing Division, where I also worked as a chief mining surveyor. Next, in 2001 I started working in ALROSA’s administration.

Mirny is a town of miners, and my life has been all about mining. I was lucky – I had good teachers. I have been invited to work in Moscow, in the oil industry, as a chief surveyor in a large Russian company, and I was also invited to work in Africa. But I refused. I like the North – I am in demand here, and I love the fishing and hunting. Also, people are different here - maybe more kind.

I have a wonderful wife and beloved children. I believe that earnings are probably not the most important thing for a man. To me, family, and the education of my children is much more important. Also, the people I work with mean a lot to me.

Meanwhile, ALROSA continues to grow steadily. The company has launched three large underground mines, and is now the world’s biggest producer of mined rough diamonds! That is something to be proud of.

Look at our history. Our open-pit mines are unique in the world, with such slopes, such ramps, such steep sides. The foreigners who come to visit are amazed. That’s why I’m confident we will achieve success in underground mining as well.

My work is about understanding and controlling a substantial flow of technical information. To work at ALROSA you must be competent across a wide range of technical issues, and also know the characteristics and features of how many types of equipment, and how they operate. Along with the prestige of working in ALROSA, there is also great responsibility: we make important strategic decisions that underpin the development of diamond mining in Russia.

I remember two major moments in my career. The first was a project on the use of emulsion explosives, which helped to reduce the cost of mining operations by hundreds of millions of roubles. The second was the release of a special issue of Mining Journal, dedicated to the 50th anniversary of the Russian diamond mining industry.

I came to Mirny after I graduated from the Krasnoyarsk Institute of Nonferrous Metals in 1974. I have never once regretted this step: I love ALROSA’s stability, and the reliability and confidence of ALROSA people.

My association with ALROSA began in 1997 when, after my fourth year of study at the Novosibirsk University of Civil Engineering, I passed a practical training course in the company’s finance department. I met people who were working closely together and dealing with difficult and interesting work, so I did my best to get a job with the team I liked so much. I am also Mirny born and bred; I finished school here, and my relatives and friends live in Mirny.

Working in the company, I can live decently and I can educate my daughter, plan my future, receive additional professional training, and work alongside highly qualified professionals. Over the years I have learned to work in a close and successful team, and have greatly improved my professional skills.

I would say that the greatest success of our management has been the efficient and effective use of cash flow for the smooth functioning of production.

PJSC ALROSA (hereinafter the Company) is developing and improving the corporate management system and ensures its compliance with the world's best standards. The Company is introducing corporate management principles, which allows ensuring the Company's high investment prospects.

The Company's supreme management body is General Shareholders' Meeting that makes decisions on all the key issues of the Company's operation. General management of the Company's operations is exercised by ALROSA's Supervisory Board. Responsibility and competence of the Supervisory Board is to ensure the Company's sustainable development and form its strategy, to control observation of the principles of corporate management, including protection of all shareholders' interests independently of their share in the Company's authorized capital, the Company's employees and its partners, to ensure due and complete disclosure of the information and transparency of business.

Five independent directors are members of the Supervisory Board. There are three Supervisory Board committees: the Audit Committee, the HR and Remunerations Committee and the Strategic Planning Committee. Duties of the Supervisory Board Committees comprise preliminary consideration of the matters related to the competence of the Supervisory Board and providing appropriate recommendations.

Sergey Ivanov

Mr. Sergey Ivanov was born on October 23, 1980 in Moscow.

In 2001, he graduated from the Moscow State Institute of International Relations with a degree in economics. In 2002, with a degree in finance and credit.

In 2002 – 2005, Mr. Ivanov held various positions in the State Investment Company and OAO Gazprom.

In 2005 – 2011, worked as vice president, first vice president, deputy chairman of the board of JSC GAZPROMBANK.

2011 – 2016, was chairman of the board of SOGAZ.

Since April 2016, before becoming ALROSA’s president Mr. Ivanov acted as senior vice president and head of the Welfare Management of PJSC Sberbank.

On March 13th 2017 elected as the president of ALROSA.

He has no participation interest in the authorized capital of Public Joint Stock Company ALROSA. He has no family ties with any members of ALROSA’s executive or supervisory bodies.

Corporate Secretary, Head of Corporate Support

The responsibilities of the Corporate Secretary include:

Ensuring that the Company’s executive bodies and employees comply with the state laws, the Company's Articles of Association and internal regulations to protect the rights and legal interests of the shareholders

Managing all board and committee meeting logistics, attending and recording minutes of all board and committee meetings, facilitating board communications

Managing the process pertaining to the annual shareholder meeting

Advising the Board on its roles and responsibilities

Facilitating the orientation of new Directors and assisting in Director training and development

Maintaining key corporate documents and records

Corporate disclosure and compliance with state corporation laws, stock exchange listing standards

Promoting the Company’s sustainable development and stronger investment appeal

Improving the corporate governance system to better accommodate the interests of the Company and all its shareholders

Monitoring corporate governance developments and assisting the Board in tailoring governance practices to meet the Board’s needs and investor expectations

Serving as a focal point for investor communication and engagement on corporate governance issues

The Corporate Secretary is the Company's officer who reports to the Supervisory Board.

Andrey Lekarev was born on 7 May 1981 in Kuybyshev.

He graduated from the Moscow State Law Academy in 2003 with a degree in Law and from the International Business School (Financial University under the Government of the Russian Federation) in 2011 with an MBA in International Banking Management. He also holds a PhD in Law from the Moscow State Law Academy (2006).

Before joining ALROSA in August 2010, Mr Lekarev worked as Chief Legal Advisor in VTB Bank's Legal Department managing all board and committee meeting logistics, facilitating board communications and managing process pertaining to the annual shareholder meeting. Earlier he worked in the administrative office of the Council of the Federation and the State Duma of the Federal Assembly of the Russian Federation.

He is a member of the All-Russian Public Organisation National Association of Corporate Secretaries.

Since 2012, Mr Lekarev has been among Top 25 Directors for Corporate Governance / Corporate Secretaries, an annual national ranking compiled by the Independent Directors Association (IDA), Russian Union of Industrialists and Entrepreneurs (RSPP) in partnership with PwC and the Moscow Exchange under the Director of the Year National Award.

In 2013, he was awarded Director of the Year for his success in corporate governance (nominated in the Director for Corporate Governance / Corporate Secretary category).

In 2015, Mr Lekarev made it again to Top 25 Directors for Corporate Governance / Corporate Secretaries.

He is also the winner of the XIII annual Top 1,000 Russian Managers 2015 ranking in the Best Corporate Governance Director category.

Since 2016, he is a member of the Share Issuers Committee of Closed Joint Stock Company MICEX Stock Exchange.

Mr Lekarev is a Class 3 Advisor of the State Civil Service.

He has no family ties with any members of ALROSA's executive or supervisory bodies.

The Russian Institute of Directors has assigned a National Corporate Governance Rating (NCGR) Score of 7 – Well-Developed Corporate Governance Practice1 - to Public Joint Stock Company ALROSA.

According to the NCGR scale, the rating score 7 is assigned to a company, which complies with Russian corporate legislation, follows the majority of recommendations of the Russian Code of Corporate Conduct2 and a number of best international practices, and its owners have low risks of experiencing losses related to the quality of corporate governance.

Corporate governance practices of ALROSA were evaluated with respect to the following components:

  • shareholder rights;
  • governing and control bodies;
  • information disclosure;
  • stakeholder engagement and corporate social responsibility.

Both positive aspects and areas for growth were identified within each of the above components.

Among other things, the following positive aspects were noted:

  • Composition of the Company's Supervisory Board is well-balance in the interests of all shareholders and in terms of the Board independence of the Company's management
  • The Supervisory Board includes independent directors
  • Meetings of the Supervisory Board are held on a regular basis and in accordance with a preliminary approved plan; the number of meetings is sufficient
  • The Audit Committee and the HR and Remuneration Committee are composed of independent and non-executive directors
  • The Supervisory Board of ALROSA evaluates the performance of the Board and its members
  • The Company has a comprehensive conflict of interest policy for the Board members and senior executives
  • Remuneration of the members of the Management Board is aligned with the Company's performance results
  • The Company has a regulatory and methodological framework for risk management
  • The Company has a structural unit that performs an internal audit function – the Internal Audit Department
  • The widely recognized audit companies, elected on a competitive basis, conduct audit of the Company's IFRS and RAS financial statements
  • The Company has successfully paid dividends for 2009-2013. When determining the amount of dividends, the Company considers net profit under IFRS
  • ALROSA discloses full information on its ownership structure, members of the Supervisory Board and the Management Board, on individual remuneration paid to the Supervisory Board members
  • The Company discloses all its IFRS and RAS financial reports, and detailed information on related party transactions
  • The Company has adopted internal documents that regulate corporate social responsibility policy.
